Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Code Forgetful website (codeforgetful.com) or engaging Code Forgetful LLC to provide software development or IT services. By accessing this website or entering into a service agreement with us, you accept these Terms in full.
1. Parties and Acceptance
These Terms constitute an agreement between you (the "Client" or "Visitor") and Code Forgetful LLC, a legal entity registered under the laws of Ukraine with its principal place of business at 7 Baseina Street, Office 14, Kyiv 01004, Ukraine ("Code Forgetful", "we", "us").
If you are accessing this website on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must stop using this website immediately.
2. Services
Code Forgetful provides custom software development, mobile application development, system integration, DevOps infrastructure, quality assurance and related IT services. The specific deliverables, timelines, pricing and acceptance criteria for any engagement are set out in a separate written Statement of Work ("SOW") or service agreement signed by both parties. In the event of any conflict between these Terms and a signed SOW, the SOW shall prevail.
We reserve the right to decline any engagement at our discretion, without being required to provide a reason, unless a binding contract already exists.
3. Website Use
This website is provided for informational purposes. You may browse, read and download content for your personal, non-commercial use. You must not:
- Use automated tools (spiders, scrapers, crawlers) to harvest data from this website without our prior written permission.
- Attempt to gain unauthorised access to any part of this website, its hosting infrastructure or related systems.
- Transmit any malicious code, spam or unlawful content through this website or any forms on it.
- Reproduce, republish or redistribute any content from this website for commercial purposes without our express written consent.
- Impersonate Code Forgetful, our employees or any other person or entity.
4. Intellectual Property
4.1 Website content
All content on this website, including text, graphics, logos and source code, is owned by or licensed to Code Forgetful LLC and is protected under applicable Ukrainian and international intellectual property law. Except as expressly permitted by these Terms, no content may be reproduced, modified or distributed without our prior written consent.
4.2 Client project deliverables
Unless otherwise agreed in a written SOW, upon receipt of full payment for each completed milestone, Code Forgetful assigns to the Client all intellectual property rights in the custom code, designs and documentation created specifically for that project. Code Forgetful retains ownership of any pre-existing tools, libraries, frameworks or know-how used during the engagement ("Background IP"), and grants the Client a non-exclusive, perpetual, royalty-free licence to use that Background IP solely as incorporated in the project deliverables.
5. Payment and Invoicing
Payment terms are specified in each SOW. Unless otherwise agreed, invoices are due within 14 calendar days of issue. Code Forgetful reserves the right to suspend work on a project where invoices are overdue by more than 14 days, without prejudice to any other remedy available. All fees are exclusive of VAT and other applicable taxes, which the Client is responsible for in their jurisdiction.
6. Confidentiality
Both parties agree to keep confidential all non-public information disclosed during the engagement that is designated as confidential or that a reasonable person would understand to be confidential. This obligation does not apply to information that is publicly known through no breach of this clause, independently developed, or required to be disclosed by law. Confidentiality obligations survive termination of any engagement for a period of three years.
7. Warranties and Disclaimers
We make reasonable efforts to ensure that information on this website is accurate and up to date. However, this website is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the completeness, accuracy, reliability or fitness for a particular purpose of any information on this website.
Specific warranties for software deliverables are set out in the applicable SOW. A standard warranty period of 30 days from delivery applies to all custom software, covering defects that cause the deliverable to materially fail to meet the agreed specifications.
8. Limitation of Liability
To the fullest extent permitted by Ukrainian law, Code Forgetful's total liability to the Client in connection with any engagement shall not exceed the total fees paid by the Client under the relevant SOW in the 12-month period preceding the claim. In no event shall Code Forgetful be liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, loss of data or loss of business opportunity, even if advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or any other matter that cannot be excluded under applicable law.
9. Third-Party Links and Integrations
This website may contain links to third-party websites or reference third-party tools and services. Code Forgetful does not endorse and is not responsible for the content, privacy practices or reliability of any third-party site or service. Your use of third-party services is governed by their respective terms and policies.
10. Termination
Either party may terminate an engagement for material breach that is not remedied within 14 days of written notice identifying the breach. Upon termination, the Client shall pay for all work completed to the date of termination on a time-and-materials basis at the agreed rates, and Code Forgetful shall deliver all completed work product.
11. Force Majeure
Neither party shall be liable for failure or delay in performance caused by circumstances beyond that party's reasonable control, including natural disasters, war, civil unrest, cyber attacks on critical infrastructure, government-ordered restrictions or telecommunications failures. The affected party shall notify the other promptly and both parties shall use reasonable efforts to mitigate the impact.
12. Governing Law and Dispute Resolution
These Terms and any disputes arising from them are governed exclusively by the laws of Ukraine, without regard to its conflict-of-law provisions. The parties agree to attempt to resolve any dispute through good-faith negotiation before commencing formal proceedings. Any unresolved dispute shall be submitted to the competent courts of Kyiv, Ukraine.
13. Changes to These Terms
We reserve the right to update these Terms at any time. The revised version will be posted on this page with an updated "Last updated" date. Continued use of this website after any revision constitutes acceptance of the updated Terms. Material changes to Terms governing existing service engagements will be communicated directly to affected clients in writing.
